1. Important Notice and Acceptance of Terms

1.1 By accessing, browsing, registering for, or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms of Service and any other policies/rules published on the Platform (including, without limitation, the Privacy Policy, Listing Rules & Prohibited Items List, Community Guidelines, Payment & Refund Policy, Trading Safety & Anti-Fraud Guide, Dispute Handling & Reporting Policy, and Credits Terms) (collectively, the "Terms").

1.2 If you do not agree to any part of the Terms, do not use the Platform.

1.3 Service Region (MVP): The Platform currently focuses on the Hong Kong Special Administrative Region ("Hong Kong"). The Platform is not marketed to EU/UK users, does not proactively target EU/UK users with advertising, and does not provide compliance commitments based on EU/UK laws.

1.4 The Company may update the Terms from time to time. Updates take effect immediately upon posting on the Platform. Your continued use after updates constitutes acceptance of the updated Terms.


2. Definitions and Roles (Users / Shops / B2C / C2C)

2.1 "User" means any person who registers for or uses the Platform.

2.2 "Shop" means a commercial display/listing/promotion unit created and managed by a User on the Platform (whether operated personally or as a business). The User is the Shop manager and bears primary responsibility unless the Shop provides valid legal documentation proving its separate legal entity status and authorized representative.

2.3 "Shop Manager" means the User who creates, operates, or manages a Shop account.

2.4 "B2C (Platform Items / Platform Listings)" means item information displayed or provided by the Platform "as the Platform" (this does not necessarily mean the Platform is the payee or delivery party; at MVP stage, the Platform mainly provides information display; the specific role is subject to the labeling on the relevant page).

2.5 "C2C (User-to-User / Shop-to-User)" means item information listed by Users or Shops, priced by them, and transacted based on direct negotiation between buyer and seller.

2.6 "Platform Nature (MVP)" means that, unless the Platform clearly labels on a specific feature page that it provides "collection of payment / escrow / split settlement / transaction protection" or similar, the Platform at MVP stage only provides information display, listing, search, messaging, and reporting/management functions. The Platform does not collect sale proceeds, does not provide escrow, does not intervene in payments, does not guarantee delivery, and does not provide mediation.


3. Account Rules, Accuracy, and Enforcement Rights

3.1 You must provide true, accurate, complete, and up-to-date information to open and use an account. You are responsible for all activities under your account.

3.2 You must not:

  • (a) impersonate others;
  • (b) use automated tools to register/operate;
  • (c) engage in any conduct that may harm the Platform's security, integrity, or reputation; or
  • (d) attempt to bypass the Platform's risk controls, limits, or bans.

3.3 The Platform reserves the right, without prior notice and without explanation, to take actions against any User or Shop, including (without limitation) removing content, limiting features, suspending listing/messaging/search privileges, suspending or terminating accounts, and freezing or revoking tags/badges/benefits.

3.4 The Platform prohibits the sale of any items unrelated to TCG and related series (see the Listing Rules & Prohibited Items List).


4. Shop Compliance Obligations

4.1 Shop Managers must ensure their Shops and listings comply with Hong Kong laws, these Terms, and Platform rules.

4.2 No duplicate/shell Shops: A Shop must not create or operate another account or another Shop to sell the same Shop's or the same operating entity's identical or highly overlapping goods/services in order to evade Platform mechanisms (including, without limitation, fees, quotas, review, or risk controls). If violated, the Shop and its manager bear all legal responsibility. The Platform bears no responsibility and may impose bans and other measures.

4.3 Official-release products: pricing and source compliance statement (MVP). For certain newly released official or authorized products (e.g., newly released booster boxes, cases, gift sets, etc.), some supply sources (including authorized distributors, wholesalers, or brand owners) may impose their own sales or pricing terms on retailers. Shops must ensure their listings and sales comply with their contractual obligations to the supply source and applicable laws (including, without limitation, competition laws). The Platform may display manufacturer's suggested retail price ("MSRP") or market reference price (if applicable) for information only. Such display does not constitute the Platform setting, agreeing on, enforcing, or endorsing any price, and does not mean the Platform participates in any merchant pricing arrangement.


5. Listing Content, Intellectual Property, and Authenticity Responsibility

5.1 You must ensure listing content (including images, text, prices, descriptions, and tags) is truthful and not misleading, and you are fully responsible for its legality.

5.2 No infringement, counterfeit goods, unauthorized goods, or pirated content is allowed.

5.3 If you provide any third-party information (e.g., another person's phone number, address, ID documents, images), you represent that you have obtained lawful and valid authorization and consent.


6. Legal Positioning of "Verified / Trusted" Labels

6.1 At MVP stage, the Platform may offer labels such as "Verified", "Trusted", or similar (collectively, "Labels") to subscribing merchants or Users.

6.2 Important clarification: Unless the Platform clearly states on the specific Label page what identity checks/document reviews/authenticity checks were performed and their scope, then:

  • (a) a Label only indicates participation in a Platform program, certain forms of manual checks (if applicable), or meeting internal thresholds;
  • (b) a Label is not a guarantee of identity, authenticity, quality, financial capacity, transaction protection, insurance, or compensation;
  • (c) buyers and sellers must assess risks themselves; and
  • (d) a Label only indicates completion of internal Platform processes and does not mean the Platform endorses any transaction, product authenticity, or performance/fulfillment ability.

7. Messaging System, Access, and Management

7.1 The Platform provides basic text messaging to facilitate communication between Users/Shops.

7.2 You understand and agree that, for Platform security, handling reports, investigating fraud/violations, enforcing these Terms, and complying with law/regulatory requests, the Platform and relevant personnel may access messages and related data where reasonably necessary.

7.3 The Platform does not commit to proactive monitoring or real-time review of message content. You are responsible for your conduct on and off the Platform (see Section 12).


8. Fees, Charging Mechanisms, and Change Rights

8.1 The Platform may charge fees for certain features (e.g., subscriptions, listing fees, Label program fees, advertising/exposure fees, credit-related benefits, etc.) as published on the relevant pages.

8.2 The Platform reserves the right to change Platform mechanisms (including, without limitation, quotas, ranking, exposure, Label standards, review processes, feature design, and risk-control strategies).

8.3 The Platform may change the above fees, details, calculation methods, promotions, or rules, which take effect after posting on the Platform. If the change relates to subscribed services, it will generally take effect in the next billing cycle or upon renewal (unless required otherwise by law or circumstances). The Company reserves the final decision.


9. Payments, Escrow, Split Settlement, and Transaction Nature (MVP Hard Boundary)

9.1 Unless the Platform clearly states otherwise, payments, delivery, logistics, refunds, after-sales, and taxes for C2C transactions are handled by the buyer and seller by their own agreement and at their own risk.

9.2 The Platform does not provide escrow, does not collect sale proceeds, does not provide split settlement, and does not provide transaction protection.

9.3 Any third-party payment/transfer arrangements (including offline cash, FPS, or external platforms) are chosen and borne by you at your own risk.


10. Account Transfer, Cross-Account Trading, and Anti-Circumvention

10.1 Unless lawful and approved in writing by the Platform in advance, any form of account transfer, sale, lending, rental, or sharing is strictly prohibited (including, without limitation, transferring account control or using nominee arrangements to evade review).

10.2 If the Platform discovers or reasonably suspects cross-account transfers, coordinated control, or circumvention, it may ban related Users/merchants and reserves the right to recover all losses.


11. Manual Review / Spot Check Principles

11.1 The Platform may manually review or spot-check any listing, account, or behavior, including (without limitation) based on risk triggers, report triggers, keyword/category triggers, random sampling, or prioritization of high-risk categories/accounts.

11.2 Review outcomes may include requesting supplemental information, requiring corrections, taking down listings, limiting features, suspending, or banning.

11.3 The Platform does not commit to review frequency, timeframes, or guaranteed responses. A lack of response generally does not mean a matter has been accepted or completed.


12. Legal Responsibility for User Speech and Conduct

12.1 Users are solely responsible for any statements and conduct in chatrooms, private messages, comments, and any off-Platform contexts (including social media and offline transactions), including any potential legal liability.

12.2 You must not defame, disparage, make false accusations, file malicious complaints, or otherwise harm the Company, the Platform, or related personnel (including employees, contractors, and partners). If losses are caused, the Company reserves all legal rights to recover such losses.


13. Disclaimer and Limitation of Liability (Hong Kong Context)

13.1 To the maximum extent permitted by law, the Platform is provided "as is" and "as available". The Company makes no warranties that services will be uninterrupted, error-free, or free of vulnerabilities.

13.2 The Company is not responsible for any C2C disputes, counterfeits, fraud, loss, delay, price disputes, delivery failures, or any indirect losses.

13.3 Where liability cannot be excluded by law, the Company's total liability in any circumstance is capped at the actual amount you paid to the Company for the relevant paid services in the past three (3) months (if applicable).


14. Termination, Suspension, and Reservation of Rights

14.1 The Platform may suspend or terminate all or part of services to any User/Shop at any time.

14.2 After termination, the Platform may retain necessary records and data for legal or operational needs (see the Privacy Policy).


15. Governing Law and Jurisdiction

15.1 These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region.

15.2 Any disputes arising out of or in connection with these Terms are subject to the exclusive jurisdiction of the courts of Hong Kong.
